Subcontract commercial assurance

An application for payment becomes a certificate through a chain of assessments. Assuring that chain is where most commercial exposure sits.

The situation.

A payment claim or application becomes a certified or otherwise determined amount through a chain of assessments and decisions. Behind that amount sit the supplying party’s submission, the receiving party’s assessment, the contract position applied at each stage and the evidence relied on. Assuring the chain means verifying that what was accepted, reduced or certified is what the contract and the evidence support.

The subcontract position is rarely identical to the main contract. Amendments, bespoke provisions, allocation of scope and any back-to-back obligations create a layered contractual position that has to be established before an assessment can be tested. Different people hold different parts of the record, and the evidence produced at the time may be all that documents what was decided and why.

When the assurance team needs to understand what is behind a certified amount, the question is not whether the number is right. It is whether the chain of assessments that produced it is auditable, attributed and intact.

What is hard about it today.

  • The subcontract position is multi-layered — options, amendments and bespoke clauses require careful resolution before any test begins.
  • Evidence is held across multiple parties, in different formats, at different levels of completeness.
  • Commercial assessments made by the main contractor's team are rarely documented with the precision needed for client-side scrutiny.
  • The basis for a certification decision — what was assessed, by whom, against which contract position — is rarely in a form that survives personnel change.
  • A dispute or investigation requires reconstructing the chain, which may depend on recollection rather than record.

APPLIED TO THE SUBCONTRACT IN FRONT OF IT

The assurance chain remains the same. The contractual position applied at each stage does not.

Different contracts describe payment, valuation and certification differently. The governed sequence remains the same: establish the applicable position, assemble the evidence, test the assessment and record the named decision.

NEC

The subcontract may use Defined Cost and a Schedule of Cost Components, amended by the selected option and Z-clauses. Any back-to-back obligation must be established from the executed main contract and subcontract rather than assumed.

FIDIC

The applicable payment, valuation and certification provisions depend on the selected form, edition and Particular Conditions. The main contract and subcontract must be read separately, including any provisions intended to operate back to back.

What you are left with.

A governed record of the subcontract assurance: the applicable contract position modelled once and cited throughout, each assessment attributed to a named person, each piece of evidence held by its content-addressed reference. The chain from subcontract to application to assessment to finding to closure is intact and replayable.

If the certified amount is questioned — in a dispute, a programme audit or a later review — the basis is in the record, not in the memory of the team that produced it. The governance model defines where accountable decisions remain with a person, while the governed AI approach explains the supporting role of the platform.
